Welcome to Griffon Webstudios Inc. By using our website, www.griffonwebstudios.com, or buying our services, you agree to comply with and be bound by these Terms and Conditions. They govern the relationship between you (the “client”) and Griffon Webstudios Inc. (“we,” “us” or “our”). If you do not agree with them, please do not use our website or services.

1. Scope of services

We provide website design and development, mobile app development, search engine optimization (SEO), pay-per-click advertising, social media marketing, content marketing, AI and blockchain development, and related digital marketing services.

The scope of services, pricing and timelines are set out in the agreed proposal or contract. If the proposal or contract differs from these terms, the proposal or contract applies.

2. Payment terms

2.1 Monthly services

Monthly services, such as SEO, pay-per-click management, social media, content marketing and maintenance, are billed on a recurring monthly basis unless the proposal says otherwise. Payment is due on the billing date each month.

2.2 Projects

One-off projects, such as a new website or app, are billed as set out in the proposal or contract.

2.3 Payment methods

We accept credit cards, debit cards and bank transfers. You agree to keep your payment details accurate and up to date.

2.4 Non-payment

If a payment fails or is not received, we may pause or end the services after 7 business days.

3. Cancellation

3.1 Notice

To cancel or pause a monthly service, send us written notice at least 2 days before the next billing date. If notice arrives later, the next billing cycle will be charged.

3.2 No refunds

All payments are non-refundable, including partial months and unused services.

4. Your responsibilities

4.1 Access and information

You agree to give us the access the work needs, such as access to your website, hosting, accounts and relevant data.

4.2 Search engine and platform rules

You agree not to ask us for practices that break search engine or platform rules, such as spam, illegal content or black-hat SEO tactics.

5. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the work, including business data, strategies and login credentials.

6. Ownership of the work

Once you have paid in full for a deliverable, you own it, including the designs, code, content and other work we created specifically for you. Until it is paid for in full, it remains our property.

Third-party items included in the work, such as licensed fonts, stock images, plugins, software and AI models, remain subject to their owners’ licenses and terms.

7. Performance and results

Search engines, ad platforms and AI tools change often, and results depend on factors outside our control, such as algorithm updates and competition. We work toward the best possible results, but we do not guarantee specific rankings or results.

8. Limitation of liability

Griffon Webstudios Inc. is not liable for any indirect, incidental or consequential damages arising from our services, including lost revenue, profits or data.

9. Indemnification

You agree to indemnify and hold harmless Griffon Webstudios Inc. and its employees from any claims, damages or legal actions arising from your use of our services or your breach of these terms.

10. Termination of services

We may end services at any time, with or without cause, by giving written notice. If you breach these terms, services will end immediately without a refund.

11. Changes to these terms

We may update these terms at any time. Changes take effect when they are posted on this page, and continuing to use our services means you accept the updated terms.

12. Governing law and jurisdiction

These terms are governed by and construed in accordance with the laws of the State of New York. Any disputes arising out of or related to these terms will be resolved in the courts of New York.

SMS terms and conditions

By subscribing to SMS messages from Griffon Webstudios Inc., you agree to receive text messages from us related to customer service, project updates, appointment reminders, service notifications, and other account-related communications. These messages are not marketing in nature unless you have explicitly opted in for promotional updates.
